These Terms & Conditions ("Terms") govern your access to and use of the Made On Chain website at this domain (the "Site"), and the custom software development, learner management system (LMS), and related services provided by Made On Chain ("we", "us", "our"), a South Africa-based software studio. By using the Site or engaging us for services, you agree to these Terms.
Where we carry out paid work for you, the specific scope, deliverables, fees, and timeline for that engagement are set out in a separate written proposal, quote, or Statement of Work ("Engagement Agreement"). If anything in an Engagement Agreement conflicts with these Terms, the Engagement Agreement takes priority for that project.
Made On Chain designs, builds, and maintains custom software, including system architecture, web applications, integrations, and Learner Management System implementations, along with ongoing maintenance and support. We also build and operate a number of our own products and tools (currently including QRgen, GAINLINE, Reality Shift, FreeVoices, and our journal index), which we link to from the Site for demonstration purposes.
You may browse and use the Site for lawful purposes only. You agree not to:
All content on the Site, including text, graphics, logos, the Made On Chain name and branding, and the underlying code, is owned by Made On Chain or its licensors and is protected by South African and international intellectual property law, unless stated otherwise.
Enquiries made through WhatsApp, email, or any other channel do not, by themselves, create a binding contract. A project only begins once we've agreed a scope, fee, and timeline in writing (typically by email or a signed proposal) and, where applicable, received an agreed deposit.
Fees, deposit requirements, and what happens if a project is cancelled or a refund is requested are set out in our Refund Policy and Cancellation Policy, which form part of these Terms.
Timelines depend on you providing what we need, when we need it. You agree to:
Delays caused by late feedback, missing content, or unresponsiveness on your side may extend the project timeline and are not our responsibility.
Unless otherwise agreed in writing, ownership of custom deliverables built specifically for you (e.g. bespoke code, designs, or an LMS instance) transfers to you once we've received payment in full for that engagement. Until then, all work remains our property.
We retain ownership of our own pre-existing tools, frameworks, libraries, and know-how used to deliver the work, even where they're incorporated into your project, and we may reuse general, non-confidential techniques and components in other work.
Unless you tell us otherwise, we may reference completed projects (name, description, and non-confidential screenshots) in our own portfolio and marketing, similar to the Projects section of this Site.
QRgen, GAINLINE, Reality Shift, FreeVoices, and our journal index are separate products we build and operate. Where any of them have their own terms of use, those terms apply to your use of that product in addition to (or instead of, where they conflict) these Terms.
We take reasonable care and skill in delivering our services, but we don't guarantee that any software will be entirely error-free or uninterrupted. To the fullest extent permitted by law, Made On Chain is not liable for any indirect, incidental, or consequential loss (including loss of profit or data) arising from your use of the Site or our services. Nothing in these Terms limits liability that cannot lawfully be excluded under South African law.
You agree to indemnify Made On Chain against any claims, losses, or costs arising from content or materials you provide, your misuse of the Site, or your breach of these Terms.
These Terms are governed by the laws of the Republic of South Africa, including, where applicable, the Consumer Protection Act 68 of 2008 and the Electronic Communications and Transactions Act 25 of 2002. Any disputes will be subject to the jurisdiction of the South African courts.
We may update these Terms from time to time to reflect changes to our services or legal requirements. The "Last updated" date at the top of this page shows when the Terms were last revised. Continued use of the Site after changes are posted means you accept the updated Terms.
